This Referral Partner Agreement ("Agreement") is entered into between Information Experts, Inc. ("Information Experts") and the undersigned individual or entity ("Referral Partner") as of the date of digital acceptance below.
PURPOSE
The Referral Partner may, from time to time, refer prospective clients ("Referred Opportunities") to Information Experts for services including but not limited to website design and development, branding, messaging, marketing strategy, social media, outreach, video, and accessibility compliance.
COMMISSION
Information Experts will pay the Referral Partner a commission equal to ten percent (10%) of the first project's collected fees from any Referred Opportunity that becomes a paying client. Commission is earned and payable only after the referred client pays their first invoice in full to Information Experts. No commission is owed on subsequent projects, retainers, or renewals.
APPROVAL
Information Experts reserves the sole right to accept, decline, or pursue any Referred Opportunity. No commission obligation arises unless and until Information Experts accepts the opportunity, enters into a written agreement with the referred client, and receives payment of the first invoice.
INDEPENDENT CONTRACTOR
The Referral Partner is an independent contractor. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. The Referral Partner has no authority to bind Information Experts to any agreement or representation.
CONFIDENTIALITY
Each party shall keep confidential the non-public information of the other and of any referred client and shall use such information only as needed to perform this Agreement.
TERM AND TERMINATION
This Agreement begins on the date of digital acceptance and continues until terminated. Either party may terminate this Agreement at any time, with or without cause, by written notice (including email) to the other party. Commissions earned on Referred Opportunities accepted prior to termination remain payable.
GOVERNING LAW
This Agreement is governed by the laws of the Commonwealth of Virginia. Any dispute will be brought exclusively in the state or federal courts located in Fairfax County, Virginia.
ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties regarding referrals and supersedes any prior understandings. Amendments must be in writing and signed by both parties.
